Which documents must a Pvt Ltd have after incorporation?+
The core pack is the Certificate of Incorporation (issued under s.7 of the Companies Act 2013), the MOA and AOA (often adopting Table F with modifications under s.5), share certificates issued under s.46 read with Rule 10 of the Companies (Share Capital and Debentures) Rules 2014, and a common seal or its statutory equivalent. What documents does an LLP need?+
An LLP needs its executed LLP Agreement filed in Form 3 with MCA within 30 days of incorporation under s.23 of the LLP Act 2008 read with the LLP Rules 2009 — without it, the default Schedule I rules apply (equal profit share among partners). A notarised copy of the agreement and the Certificate of Incorporation from FiLLiP round out the pack.
When must the first statutory auditor be appointed?+
The board must appoint the first auditor within 30 days of incorporation under s.139(6) of the Companies Act 2013, and the company files Form ADT-1 with the ROC within 15 days of that appointment per Rule 4 of the Companies (Audit and Auditors) Rules 2014. The auditor holds office until the conclusion of the first AGM.
How do PAN and TAN get issued?+
PAN and TAN are auto-issued via SPICe+ during incorporation (the Certificate of Incorporation carries the PAN), or applied for separately on the NSDL portal using Form 49B (PAN) — with the physical PAN card costing ₹107. GST registration is a separate Form REG-01 filing under the CGST Act 2017 once the business crosses the threshold.
Which documents does an OPC need that a Pvt Ltd doesn't?+
An OPC must keep a nominee consent — the Form INC-3 executed by the nominee agreeing to become the sole member if the sole member dies or becomes incapacitated, per s.3(1) and s.152 of the Companies Act 2013 read with the Companies (Incorporation) Rules 2014.
